Please read carefully and choose to accept or not accept these Terms of Service. Unless you accept all the terms of these Terms of Service, you may not register, log in or use the services involved in these Terms of Service. Your registration, login, use, etc. will be deemed as acceptance of these Terms of Service, and you agree to be bound by the terms of these Terms of Service.
These Terms of Service stipulate various matters between this platform and you regarding the "platform member" service. "Member" refers to individuals who register, log in, and use the various services provided by this platform in these Terms of Service. Member services are paid value-added services. Members must fully agree to these Terms of Service and complete payment to enjoy the relevant services.
These Terms of Service are formulated based on the "User Registration Agreement" of the "Find Location" software and are an integral part of it. At the same time, various specifications and rules on member services issued by the platform from time to time are also part of these Terms of Service. If you choose to accept these Terms of Service, activate the member service and become a member user, you agree to accept the various constraints of these Terms of Service, the "User Registration Agreement" and various specifications and rules, and will abide by them. If you do not accept these Terms of Service, you cannot enjoy the member services involved in these Terms of Service.
These Terms of Service may be updated by this platform at any time. Once the updated Terms of Service are announced, they will replace the original Terms of Service without further notice. Users can check the latest version of the Terms of Service in the application of this platform.
I. General Provisions
1.1 Platform users refer to registered users who have completed the entire registration process, are willing to accept the platform's "User Registration Agreement" and "Privacy Agreement" and use the platform services in accordance with the platform's relevant usage regulations.
1.2 Platform membership services are paid value-added services provided by the platform to platform users. Users can enjoy the various services provided specifically for members only after paying relevant fees to the platform.
1.3 Platform members must abide by the platform's "User Registration Agreement" and these Terms of Service.
2. Service Fees
2.1 The platform VIP membership service fee standard is: 4.99$/week，9.99$/month，24.99$/year，39.99$/3 ppl/year，59.99$/4 ppl/year，69.99$/5 ppl/year，79.99$/6 ppl/year. Users should purchase membership services through a one-time payment or automatic renewal on a periodic basis. The platform will provide users with different discounts based on different purchase methods and quantities. The specific discount information is subject to the content on the membership payment page.
2.2 The platform can adjust the membership service fee standard at any time according to actual conditions. The adjusted membership service fee standard will be displayed on the membership payment page. Users can enjoy or renew their membership only after paying according to the adjusted service fee standard. Users who have purchased membership services according to the original membership service fee standard will not be affected by their membership and the membership services they enjoy during the membership period, and there is no need to pay the difference. 2.3 If the membership service fee is adjusted, the automatically renewed members need to check the adjusted membership service fee and confirm it according to the system prompt before the expiration of the membership service before they can continue to use the automatic renewal service.
III. Service Content
3.1 The platform will provide members with a variety of exclusive value-added services, and the specific content will be displayed in each module or member page in the App.
3.2 The platform can adjust the membership service content at any time according to actual conditions, and the member-exclusive service items involved in the application are all member value-added service content.
IV. Service Activation and Termination
4.1 After the platform user completes the user registration procedure and completes the payment of the membership fee through the payment method provided by this platform, the platform membership is obtained.
4.2 The content and personal information submitted by the platform user must be true and valid when completing the membership registration through this platform. When the member's personal information changes, the member should modify the registered personal information in time, otherwise the member's rights cannot be fully and effectively exercised or any other consequences and responsibilities caused by this will be borne by the member.
4.3 The validity period of membership starts from the time the membership service is activated. The specific period can be viewed by logging in to the "Member Service" page of the "Find Location" client.
4.4 If the automatic renewal member cancels the automatic renewal, the platform will stop providing the user with the member value-added service after the expiration of the membership validity period.
4.5 After the expiration of the membership validity period of non-automatic renewal members, the member value-added service will be stopped for the user, and the user can renew the membership by paying the membership service fee.
4.6 If the member renews during the validity period of the membership, the validity period of the membership will be extended accordingly based on the original validity period.
V. Rights and Obligations of Members
5.1 Members of this platform enjoy equal rights as members and shall abide by the various regulations and rules of this platform, including but not limited to these Terms of Service and the User Registration Agreement.
5.2 Any losses caused by the suspension of the platform membership service due to violation of the platform's User Registration Agreement shall be borne by the user.
5.3 Members can enjoy various value-added services of platform members during the validity period of their membership.
5.4 Members cannot terminate or cancel their membership during the validity period of their membership, and this platform is not responsible for refunding the service fees corresponding to the remaining validity period of the member's membership.
5.5 Members shall bear the legal responsibility for transmitting and publishing information on this platform and using the free or paid services of this platform. Members' use of the platform services, including free and paid services, shall comply with various laws, regulations, rules, and normative documents (hereinafter referred to as "laws and regulations").
VI. Rights and obligations of this platform
6.1 This platform is obliged to ensure that members who abide by these terms of service, this platform's "User Registration Agreement" and various regulations and rules can use the member services normally. When a technical failure occurs and affects the normal provision of member services, this platform should eliminate the failure as soon as possible, but this platform shall not be responsible for any losses incurred by members as a result.
6.2 This platform shall not disclose, edit or disclose non-public information registered and saved by members without the authorization of members, except for the circumstances clearly stipulated by laws and regulations and agreed in the "User Registration Agreement".
6.3 This platform shall not bear any responsibility for the interruption or other defects in the provision of member services due to force majeure, but will try its best to reduce the losses and impacts caused to platform members.
6.4 This platform shall not be responsible for the leakage of account passwords caused by members. At the same time, in order to avoid legal risks caused by the misuse of this platform account after the user reports the situation, this platform can take all measures to prevent third parties from operating the user's member account after the user reports the situation, regardless of the purpose of the third party and whether the acquisition method is good faith.
6.5 If a member of this platform intentionally conducts an act that damages the legitimate rights and interests of "Find Location", this platform, or other users of this platform during the use of the platform's free or paid services, or if there are relevant circumstances stipulated in the "User Registration Agreement", this platform has the right to cancel the member's membership or interrupt one or more member services without any compensation, and reserves the right to pursue the member's legal liability.
6.6 If a member of this platform violates laws and regulations during the use of this platform's free or paid services, this platform has the right to cancel the member's membership without any compensation, and the member must bear all responsibilities.
VII. Others
7.1 The specifications and rules of member services issued by this platform from time to time are an inseparable part of these Terms of Service.
7.2 If there is a conflict between these Terms of Service and the "User Registration Agreement" or if there is no provision in these Terms of Service, the provisions of the "User Registration Agreement" shall prevail.
7.3 If any dispute or controversy arises between members and this platform, it shall first be resolved through friendly negotiation. If the negotiation fails, members agree to submit the dispute or controversy to the People's Court with jurisdiction over the domicile of the developer of this platform.
7.4 This platform may continuously improve these Terms of Service in accordance with the different stages of platform development and with the continuous enrichment of community management experience for the purpose of maintaining the order of members of this platform.
8. Member Renewal Agreement
The "Member Renewal Agreement" is deemed to be a supplementary agreement to the "Member Service Agreement", an integral part thereof, and constitutes a unified whole with it. If there is a conflict between these rules and the "Find Location VIP Member Service Agreement", these rules shall prevail.
8.1 Acceptance and Modification of Terms of Service
This Agreement is an agreement (hereinafter referred to as "this Agreement") between the "Find Location" App social application (hereinafter referred to as "Find Location"\"Platform"\"This Platform") and member users (hereinafter referred to as "Members" and "Platform Members") regarding the use of subscription, renewal or renewal entrusted deduction services (hereinafter referred to as "this Service") provided by this Platform. This Agreement describes the rights and obligations between this Platform and members regarding the use of this Service and related aspects. "Member"/"Platform Member" refers to an individual or a single entity that enjoys the membership services provided by this Platform.
This platform hereby reminds members to read this agreement carefully to ensure that members understand the terms of the service terms, including the terms that exempt this platform from liability and the terms that restrict members. Members are requested to read carefully and choose to accept or not accept this service terms, otherwise it will affect members' subscription, renewal, and use of the services designed by this service terms.
This agreement constitutes a prerequisite for members (whether individuals or organizations) to use the services provided by this platform. Unless members carefully read and voluntarily accept the terms of this agreement, they cannot use the services. Members' use of this service will be deemed to be their consent and acceptance of the terms of this agreement.
8.2 Service Description
8.2.1 This service is launched out of members' demand for automatic renewal. On the premise that members have activated this service, it avoids losses caused by members' failure to renew in time due to negligence or other reasons. Platform members authorize this platform to deduct the subscription fee for the next billing cycle (including: 1 week, 1 month, 3 months, 12 months) from the balance of the third-party payment account, bank card, communication account, etc. (hereinafter collectively referred to as "account") bound to the member account when the validity period of the member is about to expire. The premise for the realization of this service is that the member has bound his platform member account with the above account and can successfully deduct money from his above account.
8.2.2 Automatic renewal specifically refers to: Based on the premise of the first paragraph of this article, this platform collects the fee of the next billing cycle from the member through the above account. Members need to ensure that this platform can successfully deduct money from the above account. The platform member shall bear the loss caused by the failure of renewal due to the inability to deduct the corresponding fee from the above account.
8.2.3 When enjoying this service, members shall be bound by the "User Registration Agreement", "Privacy Policy" and "Conference Service Agreement" at the same time, and shall be deemed to have agreed to the terms of service in this service and various public notices issued by this platform for this service.
8.2.4 The services provided by this platform to members are limited to members' use on the platform. Any illegal means such as malicious cracking to separate the content of this service provided by this platform from this platform does not belong to the services agreed in this agreement. All legal consequences caused by this shall be borne by the actor, and this platform will pursue the legal liability of the actor.
8.2.5 The SVIP first-charge discount is only for continuous subscribers who recharge SVIP for the first time. The deduction rules are as follows: the deduction within one cycle is based on the price of the first charge (the price discount can be enjoyed), and the deduction in the second cycle is based on the price of SVIP continuous subscription, and the price of the first charge is no longer enjoyed. Please be informed.
8.3 Rights and obligations of both parties
8.3.1 The platform is responsible for providing platform members with a query method for the specific details of the automatic renewal charges, but is not responsible for printing the relevant invoices and forwarding them to members.
8.3.2 The platform will deduct the subscription fee for the billing cycle from the above-mentioned account of the member, and will automatically deduct the amount one day before the subscription expires, and the amount will be included in the user's payment record, and the membership validity period will be extended accordingly.
8.3.3 If an error occurs during the deduction process, the platform and platform members should work closely to find out the cause, and each party shall bear the loss caused by their own fault; if the loss is caused by unequal faults of both parties, both parties shall bear the corresponding responsibility according to the degree of fault; if both parties are jointly responsible, the responsibility shall be shared by both parties.
8.3.4 This platform may change or amend the relevant service content, rules and terms of this agreement in accordance with the business development or technology upgrade. Before making the above changes or modifications, this platform will publicize the modified content on the relevant Nico page, and has no obligation to make individual notifications separately. If members of this platform do not agree to the modification of this agreement, they can cancel the services they have obtained and stop using them; if they continue to use the services provided by this platform, they will be deemed to have accepted all the modifications of this agreement.
8.3.5 Members can choose whether to cancel this service. If you need to cancel the subscription, please cancel the renewal in the subscription module in the system settings. If the subscription is closed at least 24 hours before the end of the subscription period, it is deemed that the members of this platform agree that this platform will make irregular deduction attempts according to certain rules. Once the deduction is successful, this platform will open the subscription service for the next billing cycle for the member.
8.3.6 If the price of the member service of this platform is adjusted at the time of automatic renewal or before renewal, the current effective price shall prevail.
8.3.7 The platform does not charge any fees for users to activate this service, but the platform has the right to decide whether to charge for the service itself or adjust the automatic renewal cycle and fees based on business needs or market changes, and publicize it on the relevant pages.
8.4 Validity period and termination of member renewal agreement
8.4.1 This agreement will take effect after the member user of this platform chooses to accept or use this service, and terminates when the service is terminated/the membership of this platform is lost.
8.4.2 Members have the right to choose to terminate this service at any time during the validity period of membership. After termination of this service, the platform will stop providing this service to members of this platform.
8.4.3 The instructions that members of this platform have entrusted to this platform for automatic renewal deductions before choosing to terminate this service are still valid. This platform will not pre-refund the fees deducted based on this instruction, and the members of this platform shall bear the relevant responsibilities.
8.5 Liability for breach of contract
If one party breaches the contract, the party that abides by the contract has the right to obtain compensation through the dispute method agreed by both parties (except for breach of contract caused by force majeure).
8.6 Dispute Resolution and Applicable Law
8.6.1 The Platform and its members shall resolve disputes arising from the performance of this Agreement through friendly negotiation. If the dispute cannot be resolved through negotiation, either party shall have the right to submit the dispute or dispute to the People's Court with jurisdiction over the place where the Platform Developer resides for resolution.
